Terms of Service

These terms govern your use of Batch 9. By creating an account or using the site, you agree to them. If you don’t agree, please don’t use Batch 9. See also our Privacy Policy, which describes how we handle your personal information.
The service
Batch 9 is a pickup-only marketplace where restaurants post deep-discount meal deals with a subscriber target and a deadline. A deal only “tips” — and diners are only charged — if enough people subscribe before the deadline. If it doesn’t tip, nobody pays and the restaurant never prepares the batch. We are a platform connecting independent restaurants and diners; we are not the restaurant, and we don’t prepare, handle, or deliver food ourselves.
Accounts
- You must provide accurate information when creating an account and keep it up to date.
- You’re responsible for keeping your login credentials secure and for all activity under your account.
- You must be old enough to form a binding contract in your province or territory to create an account.
- One account per person — accounts are not transferable.
How deals work
- Subscribing to a deal is free to start — your card is only charged if the deal reaches its subscriber minimum before its deadline.
- Once you subscribe, you choose a pickup slot within the restaurant’s stated pickup window.
- At pickup, you present the pickup code shown in your account; the restaurant redeems it to confirm your order.
Refunds, cancellations & no-shows
Because every deal depends on a pre-authorized card hold and a hard deadline, here is exactly what happens in each outcome:
- Deal doesn’t reach its minimum: the hold on your card is released automatically when the deadline passes. You are not charged, and nothing further is owed on either side.
- Restaurant edits or cancels a live deal: any held or already-captured payments for that deal are released or refunded in full, and affected subscribers are notified.
- Deal tips and you don’t pick up your order: your card has already been captured at that point, and a missed pickup does not entitle you to a refund, except where required by law.
- You want to dispute a charge: contact us first at our Contact page before filing a card dispute or chargeback with your bank — most billing issues (a deal you didn’t mean to subscribe to, a duplicate charge, a deal that was cancelled but still shows as captured) can be resolved directly and faster than a bank dispute. If a chargeback is filed, we may suspend the associated account while it’s investigated.
- None of this affects any statutory refund or cancellation rights you have under applicable Canadian consumer-protection law, which always take priority over the terms above.
Fees & payment
Batch 9 is currently in a test phase: subscribing and “tipping” a deal simulates a card hold and charge without processing a real payment or moving real money. Restaurant owner terms
Batch 9 facilitates the marketplace — broadcasting your deal to subscribers and running the crowd-threshold payment mechanic. We do not prepare, handle, package, or deliver food, and we are not a food business. Everything about the food itself is the restaurant’s responsibility:
- You must be authorized to represent the restaurant you post deals for, and to provide accurate information about it (menu, pricing, pickup windows, contact details).
- You’re solely responsible for food safety, quality, allergen disclosure, and fulfilling every deal that tips, within the pickup window you set.
- You must hold all licenses, permits, and food-handling certifications required by law to operate in your jurisdiction, and keep them current for as long as you post deals.
- Our verification of your food-handling certification at onboarding (see the FAQ) is a one-time, pre-onboarding check — it is not an ongoing audit or a guarantee to diners of your food safety practices.
- You may edit or cancel a live deal before its deadline; doing so releases or refunds any affected subscriber payments.
- Photos and menu content you upload must be accurate and something you have the right to post.
- We may remove a restaurant or deal listing that violates these terms or applicable law.
Reviews & conduct
- Only diners who have subscribed to at least one deal at a restaurant may leave a review for it, and only one review per restaurant per account.
- Reviews must reflect your genuine experience — no fake reviews, no reviews in exchange for compensation, no impersonation.
- Don’t use Batch 9 to harass, defraud, or misrepresent yourself to other users or restaurants.
- We may remove content or suspend accounts that violate these terms.
Intellectual property
The Batch 9 name, logo, and site design belong to us. Restaurants retain ownership of the photos, menu descriptions, and other content they upload, and grant us a license to display that content on Batch 9 to promote their deals.
Disclaimers & limitation of liability
Batch 9 is provided “as is.” We don’t guarantee that deals will be available, that restaurant information is error-free, or that the service will be uninterrupted. We are a marketplace connecting independent restaurants and diners — we are not responsible for the quality, safety, or preparation of food served by restaurants using Batch 9, though we take reports of problems seriously and may act on them (including removing a restaurant from the platform). To the extent permitted by law, our liability to you for any claim arising from your use of Batch 9 is limited to the amount you’ve paid us in the preceding 12 months, which during this test phase is $0.
Termination
You may stop using Batch 9 and delete your account at any time. We may suspend or terminate an account that violates these terms, engages in fraud, or abuses the platform.
Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Changes to these terms
We may update these terms as Batch 9 evolves, particularly before real payments launch. We’ll post changes here with an updated “last updated” date, and make a reasonable effort to notify you of significant changes.
